Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website mediaopsmachine.com (the "Site") and the marketing, advertising, and AI-powered lead-management services (the "Services") provided by Media Ops Machine LLC ("Media Ops Machine," "we," "us," or "our"). By accessing the Site or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site or Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Services

Media Ops Machine provides marketing and advertising services, including paid media management, lead generation, AI receptionist and automated follow-up systems, appointment booking, and related consulting. Specific services, deliverables, fees, and terms for client engagements are set out in a separate service agreement or order form between you and Media Ops Machine. If a service agreement conflicts with these Terms, the service agreement controls for that engagement.

3. Fees and Payment

• Fees for Services are stated in your service agreement or at the point of purchase.
• Unless otherwise stated, fees are billed in advance on a recurring basis and are non-refundable once the billing period has begun.
• Third-party costs — such as ad spend paid to Google, Meta, or other platforms — are your responsibility and are separate from our service fees.
• We may suspend Services for accounts with overdue balances after reasonable notice.

4. No Guarantee of Results

Marketing outcomes depend on many factors outside our control, including your market, offer, pricing, sales process, and advertising platform behavior. While we work to deliver strong results, we do not guarantee any specific volume of leads, appointments, sales, revenue, or return on ad spend, unless expressly stated in a written service agreement.

5. Client Responsibilities

• Provide accurate, complete information needed to deliver the Services.
• Ensure that any content, offers, and claims you ask us to promote are truthful, lawful, and compliant with applicable advertising rules.
• Maintain any required licenses for your business and comply with laws applicable to your industry.
• Obtain any consents required to allow us to contact your leads and customers on your behalf (including SMS and email consent).

6. Communications Consent

By submitting your phone number or email through the Site, you consent to receive communications from us about your inquiry, including by phone, email, and SMS (where you have opted in). You can opt out of marketing emails at any time via the unsubscribe link, and out of SMS by replying STOP. See our Privacy Policy for details on how we handle your information.

7. Intellectual Property

The Site and its content — including text, graphics, logos, and software — are owned by Media Ops Machine or its licensors and are protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works from the Site without our prior written consent. Ownership of campaign deliverables created for clients is governed by the applicable service agreement.

8. Acceptable Use

You agree not to:

• Use the Site or Services for any unlawful, fraudulent, or deceptive purpose.
• Interfere with or disrupt the Site, servers, or networks.
• Attempt to gain unauthorized access to any systems or data.
• Scrape, harvest, or collect information from the Site by automated means without permission.

9. Third-Party Platforms

The Services rely on third-party platforms such as Google, Meta, and communications and CRM providers. We are not responsible for the acts, omissions, policies, outages, or account decisions of those platforms, including ad account suspensions or policy changes.

10. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDIA OPS MACHINE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Media Ops Machine and its officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your breach of these Terms, or your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Site or Services at any time for violation of these Terms. Termination of client engagements is governed by the applicable service agreement. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of these Terms or the Services will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
